1. Introduction & Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between SeenLayers Technologies LLP ("SeenLayers",
"Company", "we", "us", or "our"), a Limited Liability Partnership registered in India under the Limited Liability Partnership Act, 2008, and
any person or entity ("User", "you", "your") who accesses or uses our website at https://seenlayers.com, our products including XCLIENT
CRM, our ERP solutions, the RGC retention engine, or any related service (collectively, the "Services").
By accessing our website, creating a SeenLayers ID, subscribing to a paid plan, or otherwise using the Services, you confirm that you have
read, understood, and agreed to be bound by these Terms, our Privacy Policy, and any other policy referenced herein. If you do not agree
with any part of these Terms, you must not access or use the Services.
These Terms are published in accordance with the Information Technology Act, 2000 and the rules made thereunder, including the
Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, which require publication of
rules, terms of use, and privacy practices for access to a computer resource.
2. Definitions
"Services" means XCLIENT CRM, SeenLayers ERP solutions, the RGC retention engine, SeenLayers ID, and any other software, support,
or consulting service offered by SeenLayers, whether currently available or introduced in future.
"Subscription Plan" or "Plan" means a paid tier of access to the Services, billed on a recurring or one-time basis as described in
Section 6.
"User" means any individual or business entity that registers for, accesses, or uses the Services.
"SeenLayers ID" means the unified account credential that grants a User access across current and future SeenLayers products.
"Content" means data, text, files, and material uploaded, generated, or stored by a User while using the Services.
"Applicable Law" means the laws, rules, regulations, and notifications in force in the Republic of India, including but not limited to the
Information Technology Act, 2000, the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, the Indian
Contract Act, 1872, and the Limited Liability Partnership Act, 2008.
3. About SeenLayers & Our Services
SeenLayers Technologies LLP is a business software company registered in India, offering an integrated suite of business tools under a
single account (SeenLayers ID), including:
XCLIENT CRM — an AI-powered customer relationship management platform for lead management, sales pipelines, follow-up
automation, and reporting.
ERP Solutions — industry-specific enterprise resource planning systems covering inventory, finance, multi-branch operations, and
workflow management.
RGC (Revenue Growth & Client Retention) — a retention and customer lifetime value engine.
Allied services including custom software development, AI integrations, process automation, and business systems consulting.
SeenLayers reserves the right to add, modify, suspend, or discontinue any feature, module, or product at its sole discretion, with
reasonable notice to active subscribers where the change materially affects paid functionality.
4. Eligibility
You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872 to register for or use the Services.
If you are using the Services on behalf of a company, firm, or other legal entity, you represent that you have the authority to bind that
entity to these Terms.
5. Account Registration & Security
Access to the Services requires creation of a SeenLayers ID. You agree to provide accurate, current, and complete information during
registration and to keep such information updated. You are solely responsible for maintaining the confidentiality of your login credentials
and for all activity that occurs under your account. You must notify SeenLayers immediately of any unauthorised use of your account.
6. Subscription Plans
SeenLayers offers its Services under one or more paid Subscription Plans, which may be structured on a monthly, annual, or custom
enterprise billing cycle. The features, usage limits, and pricing applicable to each Plan are described on the relevant product or pricing
page at the time of purchase, and form part of these Terms by reference.

Enterprise / Negotiated scope, pricing, and service levels documented in a separate order form or agreement, which shall be read together
Custom Plan with these Terms. In case of conflict, the specific order form prevails for that engagement.
SeenLayers reserves the right to revise Plan pricing and features at any time. Any price change will apply prospectively and will not affect a
billing cycle that has already been paid for. Where required by law, advance notice of a price increase will be provided before it applies to a
renewal.
Subscriptions renew automatically at the end of each billing cycle unless cancelled by the User prior to the renewal date through the
account dashboard or by written request to our support team. It is the User's responsibility to cancel before renewal if continued access is
not desired.
7. Payment Terms
All fees are quoted in Indian Rupees (₹) unless stated otherwise, and are payable in advance for the chosen billing cycle through the
payment methods made available on our website or by our payment processing partner. By providing payment information, you authorise
SeenLayers and its payment processor to charge the applicable fees, including recurring charges for auto-renewal, until the subscription is
cancelled.
Payments are processed through RBI-authorised and PCI-DSS compliant third-party payment gateways. SeenLayers does not store full
card details on its own servers.
Failed or declined payments may result in suspension of access to the Services until payment is successfully completed.
Invoices and payment receipts will be made available to the User through the account dashboard or via email, in accordance with
applicable tax and accounting requirements.
Late payments may attract a grace period as specified on the billing page, after which access may be suspended without further notice.
8. Refund & Cancellation Policy
SeenLayers provides software-as-a-service access that is provisioned and consumed from the moment of activation. Accordingly, our
default position is as follows:
No Refund Policy. Except as expressly stated in this Section or as mandated by Applicable Law, all payments made towards Subscription Plans
are non-refundable. SeenLayers does not provide refunds for change of mind, partial use of a billing cycle, non-usage of the Services, or
downgrade of a Plan after payment has been processed.
Notwithstanding the above, SeenLayers may, at its sole and absolute discretion, approve a refund — in full or in part — in
circumstances it deems appropriate, including but not limited to cases of duplicate billing, a verified technical failure attributable solely to
SeenLayers that prevented all access to the Services, or as a goodwill gesture. The grant of a discretionary refund in one instance does not
create an obligation or precedent for any other User or instance.
8.1 Refunds Required by Law
Nothing in this Section limits any right to a refund, replacement, or cancellation that a User is entitled to as a matter of law and which
cannot be excluded by contract, including under the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce)
Rules, 2020, where the Services are found to be materially defective, deficient, or different from what was advertised, or were not
delivered due to a cause attributable to SeenLayers. In such cases, SeenLayers will process the legally due refund within a reasonable time
frame, in the manner prescribed by the Reserve Bank of India for refund processing.
8.2 How to Request a Refund
Any refund request must be raised in writing to our support/grievance email within 7 days of the relevant charge, stating the reason and
supporting evidence. SeenLayers will acknowledge the request and respond with a decision within a reasonable period, generally not
exceeding 30 days, in line with grievance redressal timelines under Indian consumer protection law.
8.3 Cancellation
Users may cancel their Subscription Plan at any time effective from the end of the current billing cycle. Cancellation stops future renewal
charges but does not, by itself, entitle the User to a refund for the remaining days of an active billing cycle, except where Section 8.1
applies.
9. Taxes
All fees are exclusive of applicable taxes unless stated otherwise. Goods and Services Tax (GST) and any other statutory levy applicable
under Indian law will be charged in addition to the listed price, in accordance with the Central Goods and Services Tax Act, 2017 and
corresponding state legislation, and will be reflected on the invoice issued to the User.
10. User Obligations & Acceptable Use
You agree not to use the Services to:
Violate any Applicable Law, including the Information Technology Act, 2000, or infringe the rights of any third party;
Upload or transmit any content that is unlawful, defamatory, obscene, or that violates the intellectual property of another;
Attempt to gain unauthorised access to the Services, reverse-engineer the underlying software, or interfere with the security or proper
functioning of the platform;
Resell, sublicense, or provide third-party access to the Services without SeenLayers' prior written consent, except as expressly
permitted under your Plan.
SeenLayers may suspend or terminate access for any User found in breach of this Section, without prejudice to any other remedy available
under law.
11. Intellectual Property
All software, source code, designs, trademarks ("SeenLayers", "XCLIENT CRM" and associated logos), and other intellectual property
comprising the Services are and remain the exclusive property of SeenLayers Technologies LLP or its licensors, protected under the
Copyright Act, 1957 and the Trade Marks Act, 1999. Subscribing to a Plan grants the User a limited, non-exclusive, non-transferable
right to use the Services for internal business purposes during the subscription term. No ownership rights are transferred to the User.
Users retain ownership of the Content they upload to the Services. By uploading Content, Users grant SeenLayers a limited licence to host,
process, and display that Content solely for the purpose of providing the Services.
12. Data Protection & Privacy
SeenLayers processes personal data in accordance with its Privacy Policy and Applicable Law, including the Information Technology
Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or
Information) Rules, 2011, and, to the extent it comes into force and applies, the Digital Personal Data Protection Act, 2023. We
implement role-based access controls, encryption, and audit trails as part of our security practices. Our full data handling practices are set
out in our separate Privacy Policy, which forms part of these Terms.
13. Service Availability & Modifications
While SeenLayers endeavours to maintain high availability of its Services, we do not guarantee uninterrupted or error-free operation.
Scheduled maintenance, force majeure events, or third-party infrastructure failures may result in temporary unavailability. SeenLayers
reserves the right to modify, upgrade, or discontinue features of the Services, provided that any change materially reducing the core
functionality of a paid Plan will be communicated to active subscribers in advance.
14. Limitation of Liability
To the maximum extent permitted under Applicable Law, SeenLayers' total aggregate liability arising out of or relating to these Terms or
the Services shall not exceed the amount paid by the User for the Services in the three (3) months preceding the event giving rise to the
claim. SeenLayers shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business
opportunity, except where such exclusion is not permitted under the Consumer Protection Act, 2019 or other Applicable Law.
15. Indemnification
You agree to indemnify and hold harmless SeenLayers Technologies LLP, its partners, directors, and employees from any claim, loss, or
liability arising out of your breach of these Terms, misuse of the Services, or violation of any Applicable Law or third-party right.
16. Termination
SeenLayers may suspend or terminate a User's access to the Services, with or without notice, in the event of a material breach of these
Terms, non-payment of fees, fraudulent activity, or where required to comply with Applicable Law or a direction of a competent authority.
Upon termination, the User's right to access the Services ceases immediately; clauses relating to Intellectual Property, Limitation of
Liability, Indemnification, and Governing Law shall survive termination.
17. Grievance Redressal Mechanism
In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and the
Consumer Protection Act, 2019, SeenLayers has designated a Grievance Officer to address User complaints relating to the Services,
billing, or these Terms.

18. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Subject to Section 19 below, the
courts located in Ahmedabad, Gujarat, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these
Terms.
19. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms, including its formation, interpretation, breach, or termination,
shall first be attempted to be resolved amicably through the grievance mechanism described in Section 17. If unresolved within 30 days,
the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996,
conducted by a sole arbitrator appointed by SeenLayers, seated in Ahmedabad, Gujarat, with proceedings conducted in English. This
clause does not affect a consumer's right to approach the Consumer Disputes Redressal Commission under the Consumer Protection Act,
2019.

Note: Indian consumer protection law does not permit a blanket, absolute "no refund under any circumstance" clause where a service is defective,
not delivered, or misrepresented. The policy in Section 8 is therefore framed as a discretionary no-refund default, carved out by a mandatory
statutory exception — this is the legally enforceable form of a "no refund" policy in India.
21. Miscellaneous
Entire Agreement: These Terms, together with the Privacy Policy and any order form, constitute the entire agreement between the
User and SeenLayers.
Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and
effect.
Amendment: SeenLayers may update these Terms from time to time. Continued use of the Services after an update constitutes
acceptance of the revised Terms.
Assignment: Users may not assign their rights under these Terms without SeenLayers' prior written consent. SeenLayers may assign
these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure: SeenLayers shall not be liable for any failure to perform due to causes beyond its reasonable control, including natural
disasters, internet or power outages, or government action.
